Fox Corporation $FOXA has agreed to acquire Roku $ROKU in a deal valuing the streaming-device maker at roughly $22 billion in enterprise value, the two companies announced on June 15. Fox will pay $160 per share, structured as 60% cash and 40% Fox Class A stock, which works out to $96 in cash and about 0.9693 Fox shares for each Roku share. The combination joins Fox's news and sports programming and its free, ad-supported Tubi service with Roku's connected-TV platform, the operating system that runs on millions of smart TVs and streaming players. Both boards of directors approved the transaction unanimously. The companies expect the deal to close in the first half of 2027, subject to approval by Fox and Roku shareholders and to regulatory clearance, including under US antitrust review.
