Anthropic confidentially submitted a draft registration statement, Form S-1, to the U.S. Securities and Exchange Commission on June 1, 2026. The filing came less than a week after the company closed a $65 billion Series H funding round that valued Anthropic at $965 billion. In its own statement confirming the filing, Anthropic said the number of shares and the offer price have not yet been set, and that timing of any public offering depends on market conditions. The company's revenue growth has been steep: its annualized revenue run-rate was about $9 billion at the end of 2025, reached $14 billion by February 2026, crossed $19 billion by early March, passed $30 billion by early April, and topped $47 billion by May, according to reporting cited by Anthropic and financial press. Rival OpenAI is preparing its own confidential S-1 filing, while Elon Musk's SpaceX has already filed its prospectus and is gearing up for a roadshow. By filing first, Anthropic gets to set the valuation and disclosure benchmark that investors will use to judge every other AI company's public offering this year, before OpenAI's numbers are even public.
